Terms of Service
Effective: July 24, 2026
1. Acceptance
By accessing or using any Prime 88 public surface, authenticated workspace, API, or operations infrastructure ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service. Continued use of the Service after any changes to these Terms constitutes acceptance of the updated Terms.
2. Definitions
"Public Surface" means any page on prime88.studio accessible without authentication. "Workspace" means the authenticated environment where tenant-specific operations occur. "Tenant" means an entity that has executed a separate agreement with Prime 88. "Content" means all text, data, information, software, graphics, and materials made available through the Service. "User" means any individual who accesses or uses the Service.
3. Eligibility
You must be at least 18 years old to use the Service. By accepting these Terms, you represent that you have the legal authority to bind yourself or, if applicable, the entity you represent. The Service is not directed at individuals under 18.
4. Accounts and Authentication
Access to the Workspace requires an authenticated account. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. You must notify Prime 88 immediately of any unauthorized access or security incident. Prime 88 reserves the right to suspend or terminate accounts for security violations, breach of these Terms, or extended inactivity.
5. Acceptable Use
You agree not to: (a) use the Service for any unlawful purpose; (b) attempt to gain unauthorized access to any system, data, account, or workspace; (c) interfere with the integrity, security, or performance of the infrastructure; (d) scrape, crawl, or harvest data from Public Surfaces beyond reasonable request volumes or in a manner that degrades the Service; (e) use the Service to transmit malware, engage in phishing, fraud, abuse, or harassment; (f) reverse engineer, decompile, or disassemble any aspect of the Service unless expressly permitted by law; (g) access or use the Service in a way that violates applicable export control or sanctions laws.
6. Intellectual Property
The Service, including its design, layout, wordmark, typography, software, documentation, and underlying systems, is the proprietary property of Prime 88 and its licensors. Nothing in these Terms grants you any right, title, or license to reproduce, modify, distribute, create derivative works of, or use Prime 88's intellectual property except as expressly necessary to use the Service for its intended purpose. All rights not expressly granted are reserved.
7. User Content
You retain all rights to content you submit, upload, or store in your Workspace. Prime 88 claims no ownership over your content. You grant Prime 88 a limited, revocable license to process, store, transmit, and backup your content solely to provide the Service. Prime 88 will not access your content except as necessary to maintain the Service, respond to support requests, or as required by law. You represent that your content does not violate any applicable law or these Terms.
8. Service Availability
Prime 88 aims for high availability but does not guarantee uninterrupted or error-free operation. Planned maintenance will be communicated via system-status channels. Prime 88 is not liable for downtime caused by factors outside its reasonable control, including internet outages, force majeure events, or third-party provider failures. Service level commitments for tenants are governed by separate agreement.
9. Fees and Payment
Paid services are governed by a separate agreement. Fees are non-refundable except as expressly stated in that agreement. Prime 88 may change pricing with reasonable notice to affected tenants. Late payments may result in suspension of access.
10. Termination
Prime 88 may suspend or terminate your access to the Service at any time for violation of these Terms. Tenants may terminate their workspace in accordance with their separate agreement. Upon termination, your right to access the Service ceases immediately, and we may delete your data in accordance with our Privacy Policy. Sections 6, 11, 12, 13, and 14 survive termination.
11. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Prime 88 does not warrant that the Service will meet your specific requirements, be secure, uninterrupted, timely, or error-free, or that defects will be corrected. No advice or information obtained from the Service creates any warranty not expressly stated in these Terms.
12. Limitation of Liability
To the maximum extent permitted by applicable law, Prime 88 and its affiliates, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising out of or related to your use of the Service, whether based on warranty, contract, tort (including negligence), or any other legal theory, even if advised of the possibility of such damages. Prime 88's total aggregate liability for any claim arising from these Terms or the Service shall not exceed the greater of USD 100 or the total amount paid by you to Prime 88 in the 12 months preceding the claim.
13. Indemnification
You agree to indemnify, defend, and hold harmless Prime 88 and its affiliates, officers, employees, and agents from any claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising from or related to: (a) your violation of these Terms; (b) your misuse of the Service; (c) your content; or (d) your violation of any applicable law or third-party right. Prime 88 reserves the right to assume exclusive defense of any matter subject to indemnification at your expense.
14. Copyright and DMCA
Prime 88 respects intellectual property rights. If you believe any content available through the Service infringes your copyright, please provide notice to ops@prime88.studio with the following information: (a) your physical or electronic signature; (b) identification of the copyrighted work claimed to be infringed; (c) identification of the allegedly infringing material and its location; (d) your contact information; (e) a statement of good faith belief that the use is not authorized; and (f) a statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on their behalf.
15. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of New York, without regard to its conflict-of-law principles. Any disputes arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in New York County, New York. You consent to the personal jurisdiction of those courts. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
16. Changes to Terms
Prime 88 may update these Terms from time to time. Material changes will be posted to this URL and, where practicable, notified to users via email or a Service notice at least 14 days before taking effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Service and terminate your account.
17. General
These Terms constitute the entire agreement between you and Prime 88 regarding the Service. If any provision is found to be unenforceable, the remaining provisions remain in full force and effect. Our failure to enforce any right or provision does not waive that right or provision. You may not assign these Terms without our prior written consent. Prime 88 may assign these Terms in connection with a merger, acquisition, or sale of assets.
